1. Agreement to These Terms

By accessing this website (https://marvelinternationalholdings.online) or engaging Marvel International Holdings Pty Ltd ("we", "us", "our") for any wholesale trading or distribution service, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use this website or our services.

We provide wholesale trading and distribution services, including sourcing, supply chain coordination, freight management and logistics support for businesses across Australia.

3. Quotes, Proposals and Engagements

• All quotes provided via our website or by email are estimates valid for 14 days unless otherwise stated in writing.
• A binding agreement is formed only when we confirm your accepted quote in writing (including email).
• Services will be performed as described in the accepted quote. Any variations must be agreed in writing and may affect price and timing.
• Prices are quoted in Australian dollars and exclude GST unless otherwise stated.

4. Payment Terms

• Invoices are payable within 14 days of issue unless alternative terms are agreed in writing.
• We may require a deposit or full prepayment before commencing certain services or dispatching goods.
• Overdue amounts may attract interest at a rate we reasonably specify, and we may suspend services until outstanding amounts are paid.
• You are responsible for any bank fees, duties, taxes or charges associated with your payment.

5. Goods, Delivery and Risk

• Delivery timeframes are estimates only and may be affected by suppliers, carriers, customs and other factors outside our control.
• Risk in goods passes to you upon delivery to the nominated address or carrier collection point.
• You must inspect goods upon receipt and notify us of any shortage, damage or defect within 7 days.
• Title in goods passes to you upon receipt of full payment.

6. Australian Consumer Law

Nothing in these terms excludes, restricts or modifies any rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable legislation. Our goods and services may come with guarantees under the Australian Consumer Law that cannot be excluded. Where you are a consumer, you are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage.

7. Limitation of Liability

To the extent permitted by law, our liability for breach of these terms is limited to the amount you paid for the relevant service or goods, or the resupply of the services or goods, at our option. We are not liable for indirect or consequential loss, including loss of profits, unless caused by our negligence or breach of a non-excludable consumer guarantee.

8. Intellectual Property

All content on this website, including text, graphics and design, is the property of Marvel International Holdings Pty Ltd or used under licence. You may not reproduce, distribute or use any content from this website without our prior written consent, other than for lawful viewing and business evaluation purposes.
